Quotations

1. Any quotation is merely an invitation for you to place an order with us. Quotations are based on information you provide. If incorrect information is supplied, goods may conform to our specifications but not suit your purpose.

2. If you offer to purchase goods based on a quotation, your offer is subject to these conditions.

Orders & Acceptance

3. We are not obligated to accept any order. Once we accept an order, it becomes binding even if not explicitly confirmed.

4. These terms prevail over any inconsistent conditions in any earlier or later document or order form.

Order Cancellations & Returns

5. No returns or cancellations will be accepted without prior written agreement. Conditions may apply:

• Orders canceled within 31 days: no charge.
• Returns between 31-60 days: 10% restocking fee plus freight & insurance.
• No returns accepted after 60 days.

6. Requests for cancellation require goods to be returned with the original invoice number. Acceptance for inspection does not guarantee approval.

7. Special-order goods are non-returnable.

8. Used parts cannot be returned or canceled.

9. Core deposits are refundable only if the returned goods are complete and reconditionable.

Risk & Title

10. Title remains with us until full payment is received.

11. Until ownership transfers, you hold goods as our agent and must store them separately if required. We may retake possession if payment is defaulted or insolvency occurs.

12–14. We may enter your premises to recover goods. This permission is irrevocable. Stock matching unpaid invoices may be reclaimed.

15. Risk passes to you once goods are dispatched from our premises.

Specifications

16. You must ensure goods are suitable for your intended use. We sell by specification, not application.

17. We may vary product specifications or sources without notice, provided alternatives are substantially similar or improved.

Warranties

18. If we are the manufacturer or importer, warranty conditions are supplied with the product.

19. New parts are warranted for 12 months unless the manufacturer’s warranty provides longer coverage.

20–22. Products are supplied “as is.” We are not liable for damages due to non-genuine parts, unauthorized service, or normal wear.

23. Used or reconditioned parts carry no warranty beyond legal minimums.

24. To claim warranty, return goods freight prepaid for inspection.

25–26. Warranties may vary per invoice and are non-transferable.

Exclusions & Limitations

27. All implied conditions and warranties are excluded to the fullest extent permitted by law.

28. Where not excludable, our liability is limited to:

• Replacement or repair of goods
• Payment for replacement, repair, or equivalent goods/services

29. We are not liable for indirect, consequential, or third-party losses including profits or savings.

Delivery & Delays

30. We are not responsible for delays beyond our reasonable control.

31. Delivery times are estimates only; we are not liable for delay.

Administrative Terms

32. Account statements are evidence of debt. Certificates signed by our director or solicitors are binding unless obviously incorrect.

33. Variations must be in writing and signed by our authorized officer.

34. These terms are governed by the laws of China.
